General terms and conditions

1. Identity and applicability
These conditions apply to all offers, agreements and activities of VDW, located at [ADDRESS AND LOCATION], Chamber of Commerce [Chamber of Commerce NUMBER]. Deviations only apply if agreed in writing.
2. Offers and agreements
Offers are without obligation and valid for the stated period. An agreement is concluded after written acceptance or as soon as VDW starts with the consent of the client.
3. Implementation and cooperation
VDW voert opdrachten zorgvuldig en naar beste inzicht uit. Tenzij anders afgesproken geldt een inspanningsverplichting en geen garantie op specifieke commerciële, technische of zoekmachineresultaten. De opdrachtgever levert tijdig informatie, toegang en feedback.
4. Planning, scope and additional work
Terms are indicative, unless agreed upon in writing as fatal. Missing input can shift the planning. Work outside the agreed scope counts as additional work and can be offered or invoiced separately.
5. Third Parties and External Services
VDW may reasonably engage third parties. Licensing, advertising budgets, hosting, software and APIs are only included if explicitly stated. VDW is not responsible for availability or changes from external suppliers.
6. Rates and payment
Amounts are exclusive of VAT, unless stated otherwise. Invoices must be received [EXAMPLE: 14 DAYS] are paid. In the event of late payment, VDW may suspend work and charge statutory interest and reasonable collection costs.
7. Intellectual Property
Rights to existing methods, components, tools and knowledge remain with VDW. After full payment, the client receives the agreed usage rights to the specific work. Source files, source code and transferable rights are only included when agreed in writing.
8. Client's materials
The client guarantees that supplied texts, images, data and brands may be used lawfully and indemnifies VDW against claims due to unlawful material.
9. Acceptance and recovery
The client checks deliveries within the agreed period and reports specific defects in writing. VDW will be given a reasonable opportunity to repair attributable defects. New wishes are not covered by recovery.
10. Confidentiality and Privacy
Parties handle confidential information carefully. When VDW processes personal data on behalf of the client, the parties make additional agreements in a processing agreement where necessary.
11. Liability
VDW is only liable for demonstrable direct damage due to an attributable shortcoming. To the extent permitted by law, liability is limited to the amount paid for the relevant assignment part, up to a maximum of the amount paid out by insurance. Indirect damage, consequential damage, loss of turnover and data loss are excluded, except in the case of intent or deliberate recklessness.
12. Force majeure
Partijen zijn niet gehouden tot nakoming wanneer dit redelijkerwijs onmogelijk is door omstandigheden buiten hun invloed, zoals infrastructuurstoringen, cyberincidenten, overheidsmaatregelen of uitval van essentiële leveranciers.
13. Term and termination
Duur en opzegging staan in de overeenkomst. Beëindiging is mogelijk bij een wezenlijke tekortkoming die na een redelijke hersteltermijn voortduurt. Uitgevoerd werk en aangegane kosten blijven verschuldigd.
14. Law and Disputes
Dutch law applies. Parties first try to resolve disputes between themselves. Thereafter, the competent Dutch court in the district of VDW has jurisdiction, to the extent permitted by law.
